TERMS & CONDITIONS OF SERVICE

Our terms and conditions of service for our projects are outlined below. If you have any questions or comments please get in touch.


 

The following Terms and Conditions of Service apply to all products and services provided by Lionsorbet Ltd.

All work is carried out by Lionsorbet Ltd on the understanding that the client has agreed to Lionsorbet Ltd’s terms and conditions.

Copyright is retained by Lionsorbet Ltd on all design work including words, pictures, ideas, visuals and illustrations unless specifically released in writing and after all costs have been settled.

If a choice of design is presented, only one solution is deemed to be given by Lionsorbet Ltd as fulfilling the contract. All other designs remain the property of Lionsorbet Ltd, unless agreed in writing that this arrangement has been changed.


1. PROJECT ACCEPTANCE

Once the customer has agreed to the proposal, Lionsorbet Ltd will provide an estimate or quotation to be accessible online. We will invite you to ‘Accept’ the estimate online via email correspondence which will form an order for the services outlined. Your acceptance is a validation of the deliverables and costs outlined in the estimate and will constitute acceptance and agreement to comply fully with the Terms and Conditions herein.

Alternatively, the client may send an official order in reply to the estimate or quotation which binds the client to accept Lionsorbet Ltd terms and conditions. No work on a project will commence until Lionsorbet Ltd has received either document.

2. DESIGN CHARGES AND PAYMENTS

Charges for design services by Lionsorbet Ltd will be set out in the written estimate or quotation and provided to the customer.

2.1 Deposits

A non-refundable deposit of up to 50% of the estimated project value must be paid in full prior to the work being carried out. This is to book the project and secure our time. A full refund can be given if the project is cancelled within 14 days of payment and no work has been carried out by Lionsorbet Ltd. If work has been undertaken, a full breakdown will be provided and offset against the refund value.

2.2 Stage Payments

Lionsorbet Ltd will invoice for each stage of the project upon completion and acceptance. Stages will be defined at the commencement of a project. Once payment is received Lionsorbet Ltd will begin the next stage of the project.

2.3 Final Payment

Balance payment becomes due upon completion of work. Payment in full is expected before a Publication and/or release of work is granted by Lionsorbet Ltd.

2.4 Payment Methods

Accepted payments: Electronic Funds Transfer , Cheque or (for overseas customers), Pound Sterling International Money Order or agreed electronic funds transfer.

3. PAYMENT TERMS, DEFAULT, & SUSPENSION OF SERVICES

Payment Terms
All invoices issued by Lionsorbet Ltd are payable within 30 days of the invoice date unless otherwise agreed in writing. An account will be considered in default if payment remains outstanding for more than 60 days from the date of invoice, or following a returned cheque.

Default and Removal of Materials
If an account enters default, Lionsorbet Ltd reserves the right to remove the customer’s website, materials, and associated services from any and all servers and computer systems until the account has been paid in full. This includes, but is not limited to, services such as website hosting, domain registration, SSL certificates, email accounts, search engine submission, design, maintenance, subcontractor services, printing, photography, and use of licensed materials.

Removal of such materials does not relieve the customer of their obligation to pay the due amount. Customers whose accounts enter default agree to pay Lionsorbet Ltd’s reasonable legal expenses and third-party collection agency fees incurred in the enforcement of these Terms and Conditions. Returned cheques will incur an additional fee of £30 per cheque.

Website Ownership Transfer
Ownership of any website, code, assets, or intellectual property created by Lionsorbet Ltd will not be transferred to the customer until all invoices associated with the project and any ongoing services have been settled in full.

Suspension of Services After 90 Days
If an account remains unpaid for 90 days from the invoice date, Lionsorbet Ltd will, without further notice, suspend all services with immediate effect. This includes, but is not limited to:

  • Website hosting and public access to the site / Including Shopify & Squarespace Access

  • SSL certificate renewals

  • Email services

  • Domain registration and renewals

  • Ongoing support, consultancy, or technical advice

Suspension will render the website and associated services inaccessible online and may have a direct impact on the customer’s business operations. Lionsorbet Ltd is under no obligation to continue paying for services that support a client’s website or business once the account enters default.

Reactivation of Services
To reinstate services after suspension, all outstanding invoices must be paid in full, along with an administration fee of £60 + VAT to cover the cost of reinstating hosting, domains, and related services.

Interest on Overdue Accounts
Accounts that remain outstanding more than 60 days after the invoice date will incur an additional charge of 2% per month on the outstanding balance until full payment is received.

4. RIGHT TO SUSPEND OR WITHDRAW SERVICES

Lionsorbet Ltd reserves the right to suspend, disable, or withdraw any and all services, including but not limited to website access, hosting, domain management, email services, technical support, consultancy, and ongoing maintenance, in the event that payment remains outstanding beyond the agreed terms. Such action may include temporarily removing a website from public access or disabling associated functionality until all overdue invoices have been paid in full.

The customer acknowledges and accepts that Lionsorbet Ltd shall not be held liable for any loss of revenue, business interruption, or consequential damages arising from the suspension or withdrawal of services due to non-payment. Suspension or withdrawal of services does not relieve the customer of their contractual obligation to pay all sums due, nor does it constitute a waiver of Lionsorbet Ltd’s right to recover any outstanding amounts, interest, legal costs, or collection fees.

5. COPYRIGHTS AND TRADEMARKS

By supplying text, images and other data to Lionsorbet Ltd for inclusion in the customer's website or another medium, the customer declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner.

Any artwork, images, or text supplied and/or designed by Lionsorbet Ltd on behalf of the customer, will remain the property of Lionsorbet Ltd and/or its suppliers unless otherwise agreed in writing.

The customer may request in writing from Lionsorbet Ltd, the necessary permission to use materials (for which Lionsorbet Ltd holds the copyright) in forms other than for which it was originally supplied, and Lionsorbet Ltd may, at its discretion, grant this. Such permission must be obtained in writing before it will allow any of the aforesaid artwork, images, text, or other data to be used.

By supplying images, text, or any other data to Lionsorbet Ltd, the customer grants Lionsorbet Ltd permission to use this material freely in the pursuit of the design.

Should Lionsorbet Ltd, or the customer supply an image, text, audio clip or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement, or any other medium believing it to be copyright and royalty-free, which subsequently emerges to have such copyright or royalty usage limitations, the customer will agree to allow Lionsorbet Ltd to remove and/or replace the file on the site.

The customer agrees to fully indemnify and hold Lionsorbet Ltd free from harm in any and all claims resulting from the customer not having obtained all the required copyright, and/or any other necessary permission/s.

6. ALTERATIONS

The customer agrees that changes required over and above the estimated work or required to be carried out after acceptance of the draft design will be liable to a separate charge. The customer also agrees that Lionsorbet Ltd holds no responsibility for any amendments made by any third party, before or after a design is published.

7. DESIGN PROJECT COMPLETION

Lionsorbet Ltd considers the design project complete upon receipt of the customer's signed Approval form or email confirmation from a department manager, director, or company owner.

8. 3D RENDERING PROJECTS

Once an account has been settled, Lionsorbet grants full ownership to use the images or videos created for your company's marketing, presentation, or sales literature. We grant an unrestricted license to use and sell the data at any time in the future.

All final produced files will be provided for unrestricted use. These include Jpg, Gif, Tiff, .Mov, Mp4 or Mpeg files. In some occasions, we can provide exported 3D raw data such as dxf, iges, stp, stl or 3dm or 3ds files.

We NEVER provide access to our render studios, material libraries, lighting setups, or process files in any form.

9. WEBSITE DESIGN PROJECTS

Once a web design is complete, Lionsorbet Ltd will provide the customer with the opportunity to review the resulting work. Lionsorbet Ltd agrees to make reasonable changes at no extra cost within 14 days of the start of the review period. Minor changes include small textual changes and small adjustments to the placement of items on the page. Substantial changes such as changes to images, colour schemes, or any navigation features may be subject to further charges. Any minor changes can be notified to Lionsorbet Ltd by email. Lionsorbet Ltd will consider that the client has accepted the original draft, if no notification of changes is received in writing from the customer, within 14 days of the start of the review period.

10. RIGHT OF REFUSAL

Lionsorbet Ltd will not include in its designs, any text, images, or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities. Any images and/or data that Lionsorbet Ltd does include in all good faith, and then finds out that it contravenes these Terms and Conditions, the customer is obliged to allow Lionsorbet Ltd to remove the contravention without hindrance, or penalty. Lionsorbet Ltd is to be held in no way responsible for any such data being included.

11. CANCELLATION

Cancellation of orders may be made initially by telephone contact, or e-mail, however, following this, Lionsorbet Ltd will need formal notification in writing to the company's postal address. The client will then be invoiced for all work completed. The balance of monies due must be paid within 30 days. Please note: any cancellation which is not formally confirmed in writing and received by Lionsorbet Ltd within 14 days of such instruction being issued, will be liable for the full quoted cost of the project.

Assets are often provided by Lionsorbet at a discounted rate or free of charge to secure a larger job such as a website. If the project is canceled at any stage, the full value of these assets and any work completed on them will be subject to payment or offset against any payments made. 

12. DISCLAIMER

Lionsorbet Ltd makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies. Lionsorbet Ltd will not be held responsible for any and all damages resulting from products and/or services it supplies. Lionsorbet Ltd is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure.

The customer agrees not to hold Lionsorbet Ltd responsible for any such loss or damage. Lionsorbet Ltd reserves the right to use the services of sub-contractors, agents, and suppliers, and any work, content, services, and usage is bound by their Terms and Conditions.

Lionsorbet Ltd will not knowingly perform any actions to contravene these and the client also agrees to be so bound.

13. GENERAL

These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. Lionsorbet Ltd reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.
